PREAMBLE

We, the undersigned, wishing to secure for ourselves the pleasure and benefits of the
association of persons commonly interested in Amateur Radio, constitute ourselves the:

MOUNTAIN AMATEUR RADIO CLUB
OAKHURST, CALIFORNIA


and enact this constitution as our governing law. It shall be our purpose to further the exchange of
information and cooperation between members; to promote radio knowledge, fraternalism and individual
proficiency and to conduct the advance of general interest and welfare of amateur radio in the community.


ARTICLE I

MEMBERSHIP

There shall be four levels of membership:

1. Full Membership. Open to all licensed amateur radio operators.
2. Associate Membership. Open to all persons interested in amateur radio.
3. Honorary Membership. Open to all persons having reached the age of 80 years and having
been a member of the MARC for not less than five (5) years.
4. Member in Good Standing. Any person who is current in his/her dues shall be considered a
Member in Good Standing.


ARTICLE II
OFFICERS

Section 1 The officers of this club shall be: President, Vice President, Secretary, Treasurer and three (3)
Directors who together will constitute the Executive Board of this club.

Section 2 In so far as possible, the slate of Directors shall be drawn from those officers serving at the time
of election for the forthcoming year, or individuals who have been officers of the club. They must all hold
a current Amateur Radio license.

Section 3 Vacancies occurring between elections must be filled by election at the first regular meeting
following the withdrawal or resignation of any elected officer,

Section 4 The officers of this club shall be elected for a term of one (1) year by the members present at
the October meeting as defined in Article V herein.

Section 5 After having been duly elected and installed, an officer may be removed by a three-forth (3/4)
vote of the members in good standing in attendance at the next regular meeting

Section 6 Officers will be nominated at the September and October meetings and elected at the October
meeting. All nominations must have the prior approval of the nominee.

Section 7 Newly elected officers will be installed at the January meeting following their election and
serve until December 31 of that year.


ARTICLE III
DUTIES OF OFFICERS

Section 1 The President shall preside at all meetings of this club and conduct them in accordance with the
rules established by this Constitution and its associated By-Laws. S/he is responsible for the following;
a. Enforcing due compliance with this constitution and the by-laws.
b. Deciding all questions of order.
c. Sign all official documents and correspondence adopted by the club.
d. Perform all customary duties pertaining to the office of President. At the expiration of his/her
term, turn over to his/her successor all items belonging to the club.

Section 2 The Vice President shall assume all the duties of the President in his/her absence as well as any
other duties assigned by the President or by the membership by vote during a meeting. He/she shall also
serve as the Chairman at Arms and shall lead in the pledge of allegiance at all meetings. Additionally, the
Vice-President shall be responsible for monthly program material.


Section 3 The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members,
keep a record of members attendance at the meetings. The Secretary shall carry on all correspondence as
deemed necessary by the Executive Board and the membership. The President, at the request of the
Secretary, appoint a Membership Chairperson to establish a membership roster and to distribute a copy to
all members in a timely manner. The Secretary is also responsible for the preparation and distribution of
proxy notices for the convenience of members in good standing who request them.

Section 4 The Treasurer shall receive and issue receipts for all money paid to the club, keep an accurate
account of all money received and expended and maintain an accurate record of the status of all dues and
membership status. S/he shall pay all bills only after they have been reviewed and duly authorized. At
each meeting s/he shall submit an itemized statement of disbursements and receipts. At the expiration of
his/her term of office, s/he will turn over everything in his/her possession belonging to the club to his/her
successor .


ARTICLE IV
COMMITTEES

Section 1 Committees may be created by a majority vote of the Executive Board or members at a general
meeting. There shall be two (2) types of committees: permanent and ad hoc. A permanent committee can
only terminated by the vote of the Executive Board or the membership at a general meeting. An ad hoc
committees can be terminated by the President upon submittal of an acceptable committee report or
determination that the need for which the committee was established no long exists.

Every year there shall be an ad hoc Nominating Committee appointed by the President no later than the
September meeting. It shall consist of a chairperson and at least two (2) other members in good standing.
It shall have as it's purpose the presentation of a slate of candidates consisting of at least one (1) nominee
for each of the seven (7) elective offices. It shall present its slate of candidates as its report in the October
meeting. Upon presentation of its report, it shall be terminated.


ARTICLE V

MEETINGS

The by-laws shall provide for regular and special meetings. At meetings, a two-thirds (2/3) majority of
members in good standing and in attendance, including duly executed proxy votes, are required for
passage of a motion.


ARTICLE VI
DUES

The club, by a vote of members in good standing at any regular meeting, as defined in Article I, may levy
upon the general membership such dues or assessments as shall be deemed necessary for the business of
the organization within its objects as set forth in the Preamble.


ARTICLE VII
AMENDMENTS

This Constitution and its By-Laws may be amended by a two-third (2/3) vote of the membership in good
standing and in attendance as defined in Article I at the time of voting. Duly executed proxy votes may be
included in the vote. Proposals for amendments submitted at a regular meeting shall be voted on at the
next meeting.


ARTICLE VIII

RULES

The conduct of all meetings and proceedings of the club shall be in accordance within the general
framework found in Robert's Rules of Order as interpreted by the then presiding officer.


BY-LAWS


1. SECRETARY

It shall be the duty of the Secretary to keep the Constitution and the By-Laws of the club
and to have them with him/her at every meeting S/he shall carefully cause all amendments,
changes and additions to be noted thereon and shall permit all of these to be consulted by
members on request.


2. MEMBERSHIP

Full membership is open to currently licensed radio amateurs. Associate membership is
open to immediate family members of any full member or other persons interested in the
activities of the club and amateur radio activities. Full membership includes all club
privileges as well as rights to hold club offices and to vote for club officers. Associate
membership includes all club privileges except the right to hold office. Honorary
membership is open to any person deemed appropriate by the membership as outlined in
the Constitution. Privileges for such members shall be specified. by the membership at the
time of conferring such membership.


3. MEETINGS

Regular meetings shall be held the fourth Thursday of each calendar month, except
November and December, at such place the Executive Board shall designate. The time at
which regular meetings are to begin shall be established by a vote of two-thirds (2/3) of
the members in good standing and in attendance. Special meetings may be called by the
President and/or the Executive Board.


4. PROXY VOTE

Proxy votes shall be allowed for all business conducted at general meetings provided such
votes do not exceed 10% of the total votes. The proxy vote shall include as a minimum
the printed name and signature of the voter and identification of the proposal for which
the vote is cast.


5. DUES

The yearly dues for both full and associate members is $10.00 and is hereby assessed in
accordance with the provisions of Article VI of the Constitution for the purpose of
providing funds for the current expenses and other expenditures authorized by the
membership. For families the dues structure will be as above for the first member and one
-half (1/2) the full assessment for each other member residing at the same address.


Honorary members and students under the age of 21 are not required to pay dues.
New members joining in October or later will be credited with the dues for the entire
subsequent year.


6. DIRECTORS

The three directors shall be nominated and elected at the regular October meeting
following the election of the regular officers and will take office in January.

Five members of the Executive Board will be deemed a quorum for Executive Board
meetings. A Director that misses three (3) meetings without due cause may be removed
from office and replaced in accordance with Article II, Section 3 of this Constitution.


7. AUTHORIZATION OF EXPENSES

Due authorization shall consist of approval by a two-thirds (2/3) vote as defined in Article
V of the Constitution and these By-Laws. Expenses of $500.00 or less, may be approved
by a majority vote of the Executive Board at a regular meeting.


8. AUDITS

The Treasurer's records shall be audited annually by at least two (2) members selected by
the Executive Board or at the completion of the Treasurer's term.
